Name of the Organisation

The name of the group shall be known as “Channel Isles & District Tenants & Residents Association”. The Association will endeavour to work on behalf of Tenants & Residents living in Alderney Close, St Brelades Place, Guernsey Close, St Helier Place, Jersey Close, 1- 299 Lower Brownhill Road, St Martins Close, Sarnia and Rozel Court.

Aims

a)            To promote the interests of all residents of the area, and to assist in maintaining good relations between all members of the community.

b)            To promote all residents rights and the maintenance and improvement of housing conditions, amenities and the environment.

c)            To work towards the elimination of all forms of discrimination within the community by encouraging all members of usually excluded groups to participate in the Association.

d)           To promote community activities.

e)            The Association shall be non-political.

Membership

a)            Membership shall be open to all who reside in area of benefit.

b)            All members shall have an equal vote.

c)            All members should actively seek to represent the various needs of Tenants & Residents, and must not discriminate on the grounds of nationality, political opinion, age, race, religious opinion, sex, sexuality or disability.

d)           Members shall at all times conduct themselves in a reasonable manner when attending meetings or any other function in connection with the group.

e)            The association has the power to allow non-Tenants or Residents to be co-opted as associate members at any open meeting, but without voting rights.

f)             Membership of the association will be free and all Tenants and residents will automatically become members unless they indicate in writing to the Secretary that they do not wish to be a member.

The Committee

a)            A Committee shall be elected to carry out the business of the Association.

b)            The Committee shall be elected at the Annual General Meeting

c)            The Committee shall be made up of a Chair, Secretary, Treasurer and a maximum 10 general members it shall aim an equal number of Tenants and Residents.

d)           Vacancies arising during the year can be filled by an election at a general meeting. The Committee may fill any vacancies arising amongst officers of the Committee until the next general meeting.

e)            No Committee member of the Association is empowered to commit the Association to any agreement in Law or binding commitment orally, or in writing or make any representation on behalf of the Association to outside bodies and individuals without the expressed approval on each occasion of the Committee.

f)             Non attendance at 3 consecutive Committee meetings without apologies being sent will result in that person(s) removal from the Committee.

g)            All Committee members will be required to sign and abide by the code of conduct and confidentially undertaking.

h)            The chair will make a decision during Committee meeting as to when the confidentially undertaking applies.

i)              Sub-Committees shall be established from time to time for special purposes with the agreement of at least two thirds of the Committee. All Sub-Committees should have at least two current committee members and update the Committee at every monthly meeting. Association members can be voted onto any Sub-Committee at a General meeting.

Committee Meetings

a)       The Committee will meet (or consult) before each General Meeting to decide Agenda.

b)      Minutes of meetings shall be available to all members.

c)      Minutes of meetings will be sent to all Committee members of the group within two weeks after a meeting-taking place.

Conduct At General Meetings

a)      At all meetings any offensive behaviour, including racist, sexist or inflammatory remarks will not be permitted.

b)      It shall be a condition of the membership that members at all times conduct themselves in a reasonable manner at meetings or any association activity. Any member may be excluded for breach of this condition, or anything contravening the aims of the association, by a majority of those present and voting at any Committee or General meeting. Any member so excluded shall have the right to appeal to the full Committee at an AGM.

General Meetings

a)      There will be a General Meeting open to all members every 2 on the fourth Thursday (except where a holiday makes it untenable) in January, March, May, July, September (AGM) and November.

b)      General Meetings of the Association are open to all members to speak and vote. The decisions of the General Meetings will be carried out by the Committee.

c)      Agendas will be sent to all invited (and will be available on request to any member) seven days in advance.

Special General Meetings

a)            A Special General Meeting open to all members will be held if 5 or more members submit a request for such a meeting to the secretary.

b)            All members will be given not less than 7 days notice of any General meeting.

Annual General Meeting

a)            There shall be an Annual General Meeting held every September at which the Committee shall report on it's work, present a statement of accounts and resign.

b)            The AGM shall elect the officers and the Committee for the next year.

c)            The AGM shall vote on recommendations and any amendments to the constitution.

d)           The secretary will notify all members of the date of the meeting not less than twenty-one days before the AGM.

Quorum

a)            No meeting will take place unless half the committee are present.

Changes to the Constitution

a)            The constitution can only be altered at an AGM or at a Special General Meeting called for that purpose.

b)            Any suggested changes to the constitution must be handed to the secretary 14 days before the AGM.

c)            Changes to the constitution must be agreed by two-thirds of the members present at the meeting.

Voting

a)            Any member may make a proposal. In order for it to be voted on by other members it must be seconded, or supported, by someone else.

b)            Only members present at the meeting may vote.

c)            Before voting any member may propose an amendment which must also be seconded.

d)           No member shall exercise more than one vote.

e)            In the event of an equal vote, the Chair shall have the casting vote.

Dissolution

a)            The Association may only be dissolved at a Special General Meeting called for that purpose and must be advertised fourteen days before the meeting.

b)            A proposal to dissolve the Association shall take effect only if agreed by two thirds of the members present at the meeting.

c)            Any assets (financial or otherwise) remaining after the payment of all debts and liabilities shall be given to charitable purposes according to the wishes of the members of the meeting.

Finance

a)      All money raised by or on behalf of the Association is to be used only to further the aims of the Association

b)      The Treasurer shall open a bank account in the name of the Association

c)      Cheque signatories will be nominated by the Committee (one to be the treasurer). There shall be three signatories. These should not be from the same household.

d)     All cheques and instructions to the Association's bankers shall require two of the agreed signatures. These should not be from the same household.

e)      The treasurer shall have the accounts checked by an independent person with adequate financial experience, for example, a representative of a community organisation, law centre, at the end of each financial year.

f)       The accounts shall be made available to members at the AGM.

Training

     a)   The Committee will undertake to promote and provide training for Committee       members that will benefit the Association and all its members.

Affiliation

a)      The Association has the power to affiliate to any organisation, which may be of benefit to its members as specified by the Committee.

b)      The association is permitted at any General meeting to put forward and invite a Councillor or anyone it feels is appropriate to be voted in as an Honorary Life member by a two thirds majority to those present. The Life member will have no voting rights or eligibility for election to the Committee.
